These Terms and Conditions (the "Terms") govern the subscription-based and project-based video editing services provided by Pixel Panda Studio ("Pixel Panda Studio," "we," "us," or "our").

Important: This document is a general business template and is not legal advice. Have it reviewed by a licensed attorney before publishing or using it as a binding agreement, particularly the automatic-renewal and refund provisions, which are regulated under federal law and Florida law.

1. ACCEPTANCE OF TERMS

By subscribing to, purchasing from, submitting materials to, or using Pixel Panda Studio video editing services, you agree to these Terms. If you do not agree, do not subscribe, purchase, submit materials, or use the service.

These Terms apply to all subscription plans, one-time editing projects, add-on services, revisions, rush work, the Welcome Kit, and all communication related to the service.

2. SERVICES PROVIDED

Pixel Panda Studio provides video editing services, including short-form videos, reels, social media clips, real estate videos, basic long-form edits, captions, resizing, simple graphics, and related post-production services. The exact scope depends on the selected plan, project instructions, materials provided by the client, and the complexity of the requested edit.

Pixel Panda Studio may refuse or limit any request that is outside the purchased plan, technically impractical, unlawful, abusive, misleading, or inconsistent with our workflow.

3. SUBSCRIPTION BASIS & PRICING

Services are sold primarily on a monthly subscription basis. The current subscription rate is $590 per month. Unless otherwise stated in writing, subscriptions automatically renew each billing period until canceled, and the client's payment method on file will be charged automatically in advance for each new period.

A subscription gives the client access to the service workflow during the active paid period. It does not guarantee unlimited same-day work, unlimited complex edits, or unlimited simultaneous active projects.

4. PLAN LIMITS & DEFINITION OF "UNLIMITED"

The subscription provides unlimited request submission into a queue. "Unlimited" refers to the ability to submit requests, not to unlimited simultaneous or same-day completion. Unless otherwise agreed in writing, the following limits apply:

- Daily delivery: up to 2 finished videos delivered per day.

- Final video length: each edited video up to 5 minutes of final runtime.

- Source footage: up to 30 minutes of raw footage per file or request.

- Revisions: up to 2 rounds of revisions per video (see Section 5).

- Larger or complex projects (e.g., long-form podcasts, videos over 5 minutes, multi-version edits, heavy graphics) are handled by separate agreement and may require additional time or fees.

Requests exceeding these limits may be queued, quoted separately, or declined at our discretion. Occasional reasonable exceptions may be accommodated at our discretion and do not waive these limits or create an obligation to accept oversized or excess requests on a recurring basis.

5. REVISIONS

Each video includes up to 2 rounds of revisions based on the client's preferences (such as changes to music, text style, pacing, transitions, or scene selection), provided the changes stay within the original concept and instructions.

A "round" means one consolidated set of feedback submitted together. Clients should compile all requested changes into a single list per round rather than sending changes one at a time.

Correction of objective errors — such as typos, misspelled names, incorrect logos, technical export glitches, or failure to follow the original written instructions — is not counted as a revision and will be fixed at no charge.

Requests that introduce a new concept, new script, new structure, different footage, or a substantially different creative direction are treated as a new request or add-on, not a revision. Excessive, repetitive, or contradictory revision requests may be limited.

6. WELCOME KIT (INCLUDED EQUIPMENT)

New subscribers receive a complimentary Welcome Kit, which may include a smartphone microphone (such as a DJI Mic or comparable model), a clip-on light, a compact phone stand/tripod, and a filming guide (digital or printed). Specific models may vary based on availability.

The Welcome Kit is the client's to keep and does not need to be returned upon cancellation. The filming guide is proprietary onboarding material prepared by Pixel Panda Studio and constitutes delivered work product.

7. CLIENT MATERIALS AND REQUIREMENTS

The client is responsible for providing all required materials, including raw footage, photos, logos, brand files, music preferences, scripts, examples, captions, access links, and instructions. Materials must be provided in a usable format through the requested file-sharing method.

Pixel Panda Studio is not responsible for delays caused by missing files, broken links, low-quality footage, unclear instructions, late approvals, missing brand assets, or client-side access issues.

8. CONTENT OWNERSHIP AND LEGAL RIGHTS

The client represents that they own or have the legal right to use all footage, photos, logos, music, voiceovers, scripts, trademarks, faces, locations, and other materials submitted for editing.

Pixel Panda Studio is not responsible for copyright claims, music licensing issues, trademark claims, privacy claims, talent releases, property releases, platform takedowns, advertising disapprovals, or any dispute arising from client-provided content. The client agrees to indemnify and hold Pixel Panda Studio harmless from claims related to materials, instructions, or content supplied by the client.

9. PORTFOLIO & PROMOTIONAL USE

Unless the client opts out in writing in advance, Pixel Panda Studio may use completed videos, edited content, and project examples for its own portfolio, website, social media, advertising, demo reels, and promotional materials.

If a client does not want their videos used this way, they must notify Pixel Panda Studio in writing before the project begins. Pixel Panda Studio will then keep that client's work confidential and exclude it from promotional use.

This permission does not transfer any ownership of the client's footage or brand to Pixel Panda Studio; it only allows Pixel Panda Studio to showcase the editing work performed.

10. COMMUNICATION & WORKFLOW

Pixel Panda Studio's primary communication and file-delivery channel is Telegram, with source files and deliverables shared via Telegram or links to cloud storage such as Google Drive or Dropbox.

Other channels or tools may be used by mutual agreement on a case-by-case basis. However, the client may not require Pixel Panda Studio to register for, learn, operate within, or deliver work through the client's own CRM, project-management platform, internal portal, or proprietary software as a condition of service, unless specifically agreed in writing. Where we choose to accommodate a different workflow, we may do so at our discretion, decline it, or treat the additional setup and administrative effort as billable. Requiring multiple or unfamiliar systems may affect turnaround times.

11. TURNAROUND TIMES

Turnaround times are estimates, not guarantees. Standard turnaround depends on project complexity, the number of active requests, the quality of materials, revision volume, client response time, and current workload. We will make reasonable efforts to complete work quickly but do not guarantee delivery by any specific deadline unless a written rush agreement is accepted by Pixel Panda Studio.

12. RUSH REQUESTS

Rush requests are not guaranteed and may be accepted or declined at our discretion. Accepted rush requests may require an additional fee. A rush fee covers priority handling but does not guarantee results if the request depends on missing materials, third-party platforms, client approvals, or technical limitations.

13. COMPLEXITY LIMITS

The service is intended for practical business video editing and social media content production. Unless specifically agreed in writing, plans do not include advanced animation, 3D graphics, complex VFX, high-end color grading, motion graphics packages, custom illustration, extensive audio restoration, or film-level post-production. If a request exceeds the normal scope of the plan, we may decline it, simplify it, quote it separately, or request additional payment before proceeding.

14. PAYMENTS AND BILLING

All fees must be paid according to the invoice, checkout page, or written agreement. Subscription payments are charged in advance for the billing period. Work may be paused if payment fails, is disputed, is reversed, or is not received on time. The client is responsible for any applicable taxes, platform fees, payment processing fees, chargeback fees, or bank fees unless otherwise stated in writing.

15. PRICING & RATE LOCK

Pixel Panda Studio may change pricing for new subscribers at any time. As long as a subscription remains active and continuously paid without interruption, the client keeps the rate they originally subscribed at (the "locked rate"). Price increases apply only to new subscribers and do not affect existing active subscriptions.

If a subscription is canceled, paused, lapses due to failed payment, or otherwise ends, any new or resumed subscription will be charged at the then-current rate, which may be higher.

16. COMMENCEMENT OF SERVICES, CANCELLATION & REFUNDS

(a) Commencement. Services are considered started once the Welcome Kit (including the filming guide) has been shipped or delivered to the client, OR once any editing work has been requested or begun — whichever occurs first. Because the filming guide is proprietary work product, its delivery represents commenced and delivered services.

(b) Cancellation. Clients may cancel at any time. Cancellation stops all future renewals but does not refund the current billing period. To avoid renewal, cancellation must be completed before the next billing date.

(c) No refund once services have started. Once services have started under Section 16(a), the current billing period is fully non-refundable, regardless of how many videos (if any) were requested and regardless of how many days remain in the period. Pixel Panda Studio does not calculate prorated or partial refunds based on days elapsed or requests used.

(d) Refund before services start. A full refund of the current period may be issued, at our sole discretion, only if services have not yet started — meaning the Welcome Kit has not been shipped and no editing work has been requested or begun.

(e) Chargebacks. The client agrees not to initiate a chargeback or payment dispute once services have started as defined above. Shipment of the Welcome Kit and/or delivery of the filming guide constitutes delivery of value under this agreement.

Pixel Panda Studio may issue a partial or full refund at its sole discretion in any circumstance, but doing so once does not create an obligation to do so again.

17. FINAL DELIVERABLES AND USAGE

After full payment, the client may use final approved deliverables for their business, social media, website, advertising, and marketing purposes, subject to any third-party rights or platform rules. Unless otherwise agreed in writing, project files, raw editing timelines, templates, presets, source files, and internal workflows are not included as final deliverables.

18. CONFIDENTIALITY

Pixel Panda Studio will make reasonable efforts to keep private client materials, unpublished videos, login details, strategy, and business information confidential. The client should not send sensitive passwords, financial information, private personal information, or legally restricted content unless necessary and specifically approved.

19. PLATFORM AND THIRD-PARTY LIMITATIONS

Pixel Panda Studio is not responsible for the actions, policies, outages, restrictions, copyright systems, ad review decisions, algorithm changes, file limits, or account issues of third-party platforms such as YouTube, Instagram, TikTok, Facebook, Google Drive, Dropbox, Telegram, Stripe, or any other platform. Performance results such as views, clicks, leads, sales, engagement, follower growth, or ad performance are not guaranteed.

20. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Pixel Panda Studio's liability for any claim related to the service is limited to the amount paid by the client for the specific service giving rise to the claim during the most recent billing period. Pixel Panda Studio is not liable for indirect, incidental, special, consequential, punitive, lost-profit, lost-revenue, lost-opportunity, data-loss, reputation, platform, advertising, or business interruption damages.

21. TERMINATION BY PIXEL PANDA STUDIO

Pixel Panda Studio may end or decline to continue the working relationship at its sole discretion, with or without cause, by notifying the client.

(a) Termination for cause — if the client breaches these Terms, fails to pay, initiates a chargeback, submits unlawful or infringing materials, abuses staff, or repeatedly requests work outside the agreed scope — Pixel Panda Studio may terminate immediately with no refund and may invoice for any unpaid work already performed.

(b) Termination without cause — if Pixel Panda Studio chooses to end the relationship for its own reasons and the client is not at fault, Pixel Panda Studio will refund the unused, prorated portion of the current billing period (calculated from the termination date), less any non-refundable cost of the Welcome Kit, shipping, and onboarding if the Welcome Kit was shipped during that same period.

Upon termination, Pixel Panda Studio may stop work and revoke access to workflow systems.

22. CHANGES TO THESE TERMS

Pixel Panda Studio may update these Terms from time to time. Updated Terms may be posted on the website or sent to clients by email, checkout page, invoice, or other communication method. Continued use of the service after updated Terms are provided means the client accepts the updated Terms.

23. GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida, unless otherwise required by applicable law.
